Minnesota LLC Filing Fees: The 2026 Numbers
Minnesota's LLC fee schedule has a personality. Formation is priced by filing channel rather than by a flat rate, the state's yearly filing is free, and the one recurring dollar amount most owners expect to pay simply does not exist here. Here is the complete fee picture, every figure straight from the Secretary of State's schedule.
Formation: Two Channels, Two Prices
Filing the Articles of Organization runs $135 by mail or $155 online or in person. This is not a surcharge situation. Minnesota prices the channels separately and designates the online and in-person routes as "expedited service" on its fee schedule. Most filers use the online channel and pay $155.
The Annual Renewal: $0
Minnesota's yearly filing is called the Annual Renewal, and for an active LLC in good standing it is free, whether submitted online, by mail, or in person. It comes due by December 31 every year, starting the calendar year after formation.
Free does not mean optional. Under Minn. Stat. ยง 322C.0705, an LLC that lets December 31 pass without filing is statutorily dissolved, no further notice required. Getting a dissolved LLC back means paying real money: the current year's renewal plus a reinstatement fee of $65 by mail or $85 online or in person. Filed online through us, year one totals $354: our $199 (which covers the first year of registered agent service) plus the $155 state fee. From year two onward the state charges you nothing so long as the free renewal goes in on time, leaving registered agent service at $99 a year as the only recurring line.
