About LLC Minnesota.org
LLC Minnesota.org forms Minnesota LLCs for a $199 service fee plus Minnesota's state fees, with the first year of Minnesota registered agent service included.
From order to approved LLC
Standard Minnesota processing for a new LLC takes 1 business day after we file.
State processing times are set by the state and can change.
What LLC Minnesota.org does
- Preparation and filing of your LLC's formation document (the Articles of Organization or Minnesota's equivalent) with the state.
- Delivery of the state-returned formation documents to your online account.
- Your first year of Minnesota registered agent service. It renews at $99/year after 12 months.
What it costs
Minnesota LLC formation: $199 our fee + $155 Minnesota state filing fee = $354 due today. The first year of registered agent service is included; it renews at $99/year after 12 months.
EIN (federal tax ID) application: $99. The IRS charges no fee for an EIN. Founders with no SSN or ITIN add $99 for international processing.
State fees are shown separately from our fee. We collect them with your order and pay them to the state at cost when we file.
Not included
- The state's filing fee and any mandatory state expedite fee. They are listed separately above, collected with your order and paid to the state.
- The federal EIN (tax ID number). That is a separate service: $99.
- An operating agreement.
- BOI / FinCEN beneficial-ownership reporting.
- Legal or tax advice. We are a filing service, not a law firm.
Minnesota rules to know
An active domestic LLC in good standing pays $0 to renew, and the channel makes no difference: online, mail, and in-person filings are all free. The renewal's authorizing statute is Minn. Stat. § 5.34, with the LLC-specific obligation tied to § 322C.0211, and the same $0 treatment extends to foreign LLCs registered in the state. Minnesota keeps the contents thin as well. The form confirms basics like your registered office and, if you list one, your registered agent; it asks for no member roster and no financials.

Questions about LLC Minnesota.org
Do I need an operating agreement for my Minnesota LLC?
Minnesota doesn't require you to file an operating agreement with the state, but you absolutely should have one. Banks require it to open a business account. Courts rely on it in disputes. Without one, Minnesota's default LLC rules apply — which may not match your intentions. Our operating agreement template is a paid optional add-on, separately priced from formation.
What's included in your formation service?
Our $199 service covers Articles of Organization preparation, review, and filing with the Minnesota Secretary of State. The $155 state filing fee is paid separately. Registered agent service: first year included with your LLC, then $99/year. Operating agreement and EIN assistance are available as separate optional services.
Do I need a registered agent for my Minnesota LLC?
Yes. Every LLC registered with the Minnesota Secretary of State is required to maintain a registered agent with a physical Minnesota address. This is true from the moment you file your formation documents and remains true for as long as the LLC exists. Our registered agent service: first year included with your LLC, then $99/year.
Is a registered agent included?
Yes. Your first year of Minnesota registered agent service is included with the formation. After 12 months it renews automatically at $99/year unless you turn off auto-renewal or cancel in your online account.
Does Minnesota require an annual report for LLCs?
Yes, every year. The fee is $0. Missing the filing deadline can lead to late fees and eventually administrative dissolution by the Minnesota Secretary of State.

Policies
Registered agent service renews automatically for another year on each renewal date, unless you turn off auto-renewal or cancel in your online account, or give written notice at least 30 days before the renewal date. Renewal reminders go out about 60 days ahead.
You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.
Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.
