Minnesota LLC Filing Fee: $155 Online, $135 by Mail
Minnesota charges $155 to file Articles of Organization online or in person, and $135 by mail. The extra $20 buys expedited handling: online filings are typically processed within 2 to 5 business days and emailed back, while mailed filings wait their turn first-come, first-served.
The yearly filing costs nothing. Every Minnesota LLC files an annual renewal by December 31, starting the year after it forms, and the fee is $0.
Minnesota LLC fees at a glance
| Filing | Fee online / in person | Fee by mail | When |
|---|---|---|---|
| Articles of Organization | $155 | $135 | Once, to form the LLC |
| Annual renewal | $0 | $0 | By December 31, each year after formation |
| Reinstatement after termination | $85 | $65 | If a renewal was missed |
| Change of registered office or agent | $55 | $35 | Whenever the office or agent changes |
| Name reservation (optional) | $55 | $35 | Holds a name for one year |
There is no late fee for the annual renewal. Instead, a Minnesota LLC that doesn't file it is administratively terminated, and coming back means filing a renewal and paying the reinstatement fee. An entity inactive for more than six years can't be reinstated online.
Where these figures come from
- The Secretary of State's business filing fee schedule lists Articles of Organization "By Mail: $135.00 · Online: $155.00 · In Person (Appointment Required): $155.00" and an Annual Renewal fee of $0.
- Minn. Stat. § 322C.0201 governs the Articles of Organization and sets the $135 base payment; the Articles form (PDF) charges "$155 for expedited service in-person and online filings, $135 if by mail".
- § 322C.0208 requires the renewal by December 31 and states that "no fee is required"; § 322C.0705 covers administrative termination.
How to file Minnesota Articles of Organization
- Pick a name with "limited liability company" or "LLC" in it. It can't contain "corporation" or "incorporated" and must be distinguishable on the Secretary's records. Check it with the free business search on the MBLS portal.
- Set a registered office. Every Minnesota LLC needs an actual office location in the state, not just a P.O. box. Naming a registered agent is optional in Minnesota; if you name one, the agent's business office must match the registered office.
- File the Articles. Online, create an account on the Minnesota Business & Lien System (MBLS) and pay $155 by credit card. By mail, send the form with $135. The form lists the name, registered office, any agent, and each organizer, who signs, plus an email address for official notices.
- Renew every year. From the year after you form, file the free annual renewal by December 31 so the LLC stays active.
