Minnesota LLC Annual Report: $0, Due December 31
Minnesota calls it the annual renewal, and there is no fee: the Secretary of State charges $0 whether you file online, by mail or in person. It is due by December 31 every year.
The first renewal is due in the calendar year after the year your Articles of Organization were filed. The Secretary of State may send a reminder notice, but the filing duty is yours either way.

| Item | Fee | Deadline |

| Annual renewal | $0 | December 31 each year |
| Late fee | None listed | |
| Renewal not filed | LLC is administratively terminated |
What the renewal asks for
The renewal updates the LLC's registered office and registered agent (if it has one), a manager's name and address, the principal executive office and an email address.
If you miss December 31
Minnesota does not list a late fee. A domestic LLC that has not filed its renewal is administratively terminated under Minnesota Statutes 322C.0705. It can retroactively reinstate by filing a single annual renewal, which returns it to active status as of the termination date. Reinstatement fees are not covered on this page; check the Secretary of State's fee schedule for the current charge. An entity that has been inactive for over six years cannot be reinstated online.
Where these figures come from
- The Secretary of State's business filing and certification fee schedule lists the annual renewal at $0 by mail, online and in person.
- Minnesota Statutes 322C.0208 sets the December 31 deadline and says no fee is required; section 5.34 lists the contents.
- Section 322C.0705 covers administrative termination and section 322C.0706 covers reinstatement.
How to file the Minnesota annual renewal
